Google Cloud Platform (GCP) Terms

1. Google Cloud Data Processing Addendum

The Quote is bound and governed by Google's Data Processing Addendum ("CDPA") that can be found at the following URL: https://cloud.google.com/terms/data-processing-addendum

2. Service Level Agreements

The governing Google Cloud Service Level Agreements for the Quote are located at: https://cloud.google.com/terms/sla/

4. Non-Agency Notice

DoiT and Google are independent contractors and DoiT is not Google's agent or in a joint venture with Google.

5. Google Cloud Acceptable Use Policy

The full Google Cloud Acceptable Use Policy ("AUP") can be found at the following URL: developers.google.com/cloud/terms/aup. Use of the Google Cloud services under the Quote is subject to the AUP.

6. Direct Google Cloud Support Plan

Customer, at its sole discretion, can purchase Google Cloud Support Services to obtain direct access to Google Cloud Technical Support. Customer may select any support tier, and the applicable fee will be added to the Customer's monthly invoice.

7. Partner Led Premium Support

Alternatively, or in addition to a direct Google Support Plan, Customer may purchase Partner Led Premium Support ("PLPS"). If the Customer opts for PLPS, the following shall apply:

  • Raising a ticket with DoiT only. Customer shall submit a support request to DoiT, and DoiT will then, accordingly, solve the ticket and/or open support tickets with Google on Customer's behalf. Customer shall not open any ticket directly with Google.

  • PLPS minimum subscription. The PLPS subscription will be applied to all Google Cloud Billing Accounts listed above and is subject to a minimum duration of 90 days (the "Minimum Duration"). Changes to the PLPS subscription shall be requested by the Customer via a DoiT support ticket and can only be made once the Minimum Duration has expired. The PLPS fees will stop following a maximum written notice period of thirty (30) days from the DoiT support ticket.

  • PLPS fees. The PLPS is charged on top of your Google Cloud services and will be charged at the reflected percentage of the Customer's Monthly Applicable Fees as detailed within the DCI Order Form. For the purposes of this Section, the "Monthly Applicable Fees" shall be defined as any Google Cloud Platform services fees (before any applicable discounts or credits) excluding any Google Marketplace purchases.

  • The PLPS fees shall be specifically excluded from the Discount as specified here: https://cloud.google.com/skus/exclusions

8. Transition to Then-Current List Price

At any time during the Term, Customer may request (by notifying DoiT in writing) to be charged the then-current list price for each Google SKU under Customer's Subaccount instead of receiving the applicable Discounts, as applicable. If Customer so notifies DoiT, DoiT agrees to make the corresponding change within fifteen (15) business days.

9. Termination of GCP Services

  1. On-Demand Term. If the Quote specifies an On-Demand Term for GCP Services that renews monthly or every thirty (30) days, either DoiT or Customer may terminate it with thirty (30) days' written notice before the next renewal date.

  2. Fixed Term. If the Quote specified a Fixed Term, this Quote shall automatically terminate only upon completion of the Term for GCP Services.

    1. No Termination for Convenience. Neither DoiT nor the Customer may terminate this Quote for convenience during the Fixed Term.

    2. Termination for Cause. Either party may terminate the Quote as to the applicable services immediately if the other party (i) materially breaches this Quote and fails to cure such breach within thirty (30) days after receiving written notice of such breach from the non-breaching party, or (ii) becomes or is declared insolvent or bankrupt, is the subject of any proceedings relating to its liquidation or insolvency, or for the appointment of a receiver, conservator, or similar officer, is unable to pay its debts as they become due, makes an assignment to or for the benefit of its creditors, or ceases to conduct business for any reason on an ongoing basis leaving no successor in interest.

    3. Effects of Termination.

      • If Customer terminates the Quote for Cause as to the applicable services before expiration of the Fixed Term, then Customer shall pay the amount by which the Total Commitment Amount exceeds the Commitment Eligible Fees actually incurred as of the date of termination (the "Remaining Commitment") according to the applicable payment terms of the Quote.

      • If DoiT terminates the Quote for Cause by Customer before expiration of the Term, Customer shall pay the Remaining Commitment due, plus applicable Credits actually disbursed to Customer, in each case according to the Payment Terms of the Quote.

10. Third Parties

Customer will not allow any other party to benefit directly or indirectly from any discounts, credits or funds provided under the Quote nor transfer, assign or re-allocate the Subaccount(s) to any other Third-Party without the consent of DoiT.

11. DoiT Cloud Intelligence Terms

Unless Customer has signed an offline or another version of the DoiT Cloud Intelligence terms, the [DoiT Cloud Intelligence Terms]located at https://help.doit.com/docs/doit-terms shall be incorporated via reference.

Google Maps Terms

If you should begin using Google Maps Platform services, the following "Google Maps Platform-Specific Terms" will apply.

1. Google Maps Platform Support

Customer, at its discretion, may use Google Maps Platform Support (hereinafter "Google Maps Support") to obtain direct access to Google Maps Technical Support. Such Google Maps Support is — unless decided otherwise by Google — provided without any additional charges. Under this Order Form, Customer may open a Maps Support ticket directly with Google.

2. Google Maps Platform Services Fees

DoiT will invoice Customer for all fees for Google Maps Platform services consumed by Customer at standard Google Maps Platform service fees on a monthly basis for usage in the immediately preceding month.

4. Google Maps Platform Privacy Policy and Acceptable Use Policy

Google's Privacy Policy applies to the Quote and is found at the following URL: www.google.com/policies/privacy. Use of the Services are also subject to the Google Maps Platform Acceptable Use Policy ("AUP") and is found at the following URL: cloud.google.com/maps-platform/terms/aup/.

5. Google Maps Platform Service Level Agreements

The Google Maps Platform Service Level Agreement for the Quote is located at https://cloud.google.com/maps-platform/terms/sla/.

6. DoiT Data Processing and Security Terms

DoiT's standard Customer Data Processing Agreement (the "DPA") may be found at http://go.doit.com/dpa To the extent that with respect to the Quote, DoiT is either (i) a "processor" under applicable law, or (ii) is subject to data privacy rules, then the DPA is hereby incorporated into, and supplements the Quote, by this reference.

7. DoiT Cloud Intelligence Terms

Unless Customer has signed an offline or another version of the DoiT Cloud Intelligence terms, the [DoiT Cloud Intelligence Terms]located at https://help.doit.com/docs/doit-terms shall be incorporated via reference.
