AWS Terms

1. Service Terms

Amazon AWS standard terms apply and may be found at the following URL: https://aws.amazon.com/service-terms. Should Customer elect to use any Anthropic and/or Claude models through Amazon Bedrock or any related AWS service, the following additional terms shall apply: https://www.anthropic.com/legal/commercial-terms.

2. Service Level Agreements

The governing AWS Service Level Agreements for the applicable Quote are located at: https://aws.amazon.com/compute/sla/

3. Non-Agency Notice

DoiT and Amazon Web Services are independent contractors and DoiT is not Amazon's agent or in a joint venture with Amazon.

4. Privacy Notice

This Quote is bound by the standard Amazon AWS Privacy Notice which can be found at the following URL: https://aws.amazon.com/privacy/

5. Amazon AWS Acceptable Use Policy

The full Amazon Web Services Acceptable Use Policy ("AUP") can be found at the following URL: https://aws.amazon.com/aup. Use of Amazon Web Services Services under the applicable Quote is subject to the AUP.

6. AWS Management Account

Upon creation of the Customer's AWS Management Account, and if the Customer co-owns any root credentials or holds an IAM role to access the management account, any changes to the management account shall be priorly submitted to DoiT through support.doit.com for DoiT's information and confirmation.

For the avoidance of doubt, any modification or changes of the management account (such as but not limited to credentials, email, billing info, removal of any specific roles) without DoiT's prior and express consent should be considered as a breach and enable DoiT to suspend or terminate this agreement for Cause immediately.

7. Consent to Assignment Agreement (CTA) Process

Upon onboarding of the Customer, DoiT shall be solely responsible and liable (towards AWS) for the fees, charges and taxes accrued under the Customer's AWS accounts. DoiT will, in no event, become the owner of the Customer's AWS accounts. The Customer carries, during the duration of the CTA, full ownership and all liabilities for its accounts, including all technical responsibilities.

As such, upon termination, the Customer engages to execute promptly the following required steps: Termination requires DoiT to submit a Consent to Assignment Agreement ("CTA") to AWS, which in turn requires Customer to provide certain information necessary to complete the CTA.

In the case of Customer initiated termination, or DoiT-initiated termination other than for cause, and notwithstanding anything else contained in this agreement, the termination effective date will be no later than the first day of the month that is at least 14 days after the CTA has been received, reviewed and signed by AWS; provided that, without derogating from the above, in the case of a Customer initiated termination, the termination effective date will, in any event, be no sooner than 30 days from the date that the Customer requested termination from DoiT in writing.

In the case of a termination pursuant to Customer's breach of this agreement (including for the avoidance of doubt the Customer's uncured failure to pay), DoiT may, at its discretion, suspend or terminate Customer's accounts, which may lead to unrecoverable data loss of the Customer. The customer agrees to execute the CTA within three business days from receipt, regardless of the reason for the termination.

8. Amazon AWS Services Fees

Charges for Amazon AWS services consumed by Customer will be billed by DoiT at standard AWS prices. Customer will receive the monthly invoices from DoiT based on resources used throughout the month and according to Amazon's AWS price list published at the following URL: https://aws.amazon.com/pricing

9. Customer's option for Flexsave

Customer will be entitled to participate in DoiT's Flexsave program as set forth in the following URL: https://help.doit-intl.com/flexsave/aws. Such activation shall be made within a maximum of 10 days from the Quote Effective Date.

10. DoiT Cloud Intelligence Terms

Unless Customer has signed an offline or another version of the DoiT Cloud Intelligence terms, the DoiT Cloud Intelligence Terms located at https://help.doit.com/docs/doit-terms shall be incorporated via reference.
