AWS Private Pricing Addendum: S3 Services

1. Discount Pricing​

DoiT will apply the Service-Specific Rates to fees for use of the applicable components of the Eligible Service under Customer's AWS Accounts. The discounting under the PPA may not be combined with any other discounts (including with any discounts on the AWS Site). If pricing for an AWS region or a fee for the eligible service is not included in the Quote, public pricing shall apply.

For each Eligible Region, the Volume Tier for that Eligible Region is determined each month based on the amount of Amazon S3 Services Out in that month under Customer's AWS account in the Eligible Regions combined. DoiT will apply the Service-Specific Rates during the Discount Term as long as the Customer is complying with the terms of the Quote and the Previous Agreement.

2. Price Protection​

AWS will charge the lesser of (i) the fees payable under the PPA for the Eligible Services and (ii) the fees payable for the Eligible Service without modification by the PPA.

3. Commitment and Duration.​

In order to benefit from the Discounted Pricing and the Service Specific Rates, Customer shall keep his AWS accounts consolidated under DoiT during the Discount Term. For the sake of clarity, the Discounted pricing will be applied by DoiT according to the following timelines: (a) if the Customer consolidates his account by the 10th of the first month (following such consolidation): the Customer will benefit from the Discounted pricing from the next subsequent month; (b) If the Customer consolidates his account after the 10th of the first month (from such consolidation): the Customer will benefit from the Discounted pricing within the first days of the next subsequent month. Any Previous Agreement termination before the Discount Term shall not affect the validity of the present Quote which will be valid until the end of the Discount Term for the said Services as described within the Quote.

4. Definitions​

For the purpose of the Quote only, capitalized terms shall have the meanings set forth in the Previous Agreement, or described on the AWS Site unless otherwise defined in the Quote.

  • As used in the Quote: 1 EB equals 1024 PB; 1 PB equals 1024 TB; 1 TB equals 1024 GB; 1 GB equals 1024 MB; 1 MB equals 1024 KB; and 1 KB equals 1024 bytes.

  • "Amazon S3" means Amazon S3 Standard Storage, Amazon S3 Infrequent-Access Storage, Amazon S3 One Zone-Infrequent Access Storage, Amazon S3 Intelligent-Tiering Storage, Amazon S3 Glacier Flexible Retrieval Storage, Amazon S3 Glacier Instant Retrieval Storage, and Amazon S3 Glacier Deep Archive Storage.

  • "Currency": all currency values in the Quote are in U.S dollars.

  • "Eligible Accounts" means the following AWS accounts: (i) the Eligible Payer Accounts, other than any Eligible Payer Account that AWS agrees to remove at your request; (ii) any Program Management Account that AWS agrees to add as an Eligible Payer Account at your request; and (iii) any Member Accounts joined via AWS Organizations to an Eligible Payer Account; provided that: (x) the Quote applies only to Member Accounts that are for use by a single End Customer, and that are used by such End Customer during the Discount Term only as Program Accounts; (y) Eligible Payer Accounts cannot be joined via AWS Organizations to any AWS accounts other than such Member Accounts; and (z) the Quote applies only to AWS accounts that are associated with a location that corresponds to an AWS Party.

  • "Service-Specific Commitment Shortfall Payment" means an amount equal to the applicable Service Specific Use Commitment less the applicable use of the Eligible Service, charged at the Service-Specific Shortfall Rate. Any Service-Specific Commitment Shortfall Payment is a payment obligation under the payment terms of the Previous Agreement.

  • "Service-Specific Shortfall Rate" means either (x) a rate equal to the average of the Service-Specific Rates for Amazon S3 Standard Storage, Amazon S3 Standard-Infrequent Access Storage, Amazon S3 One Zone-Infrequent Access Storage, Amazon S3 Intelligent-Tiering Storage, Frequent Access Tier, Amazon S3 Intelligent-Tiering Storage, Infrequent Access Tier, Amazon S3 Intelligent-Tiering Storage, Archive Access Tier and Amazon S3 Glacier Flexible Retrieval Storage, weighted by the amount of each such use of Amazon S3 in the Eligible Regions under Eligible Accounts relative to the total of such use in the month in which the applicable Service-Specific Use Commitment is measured or (y) the highest rate applicable under the Quote for such use of Amazon S3 (if there has been no such use of Amazon S3 in the month in which the applicable Service-Specific Use Commitment is measured).

  • Service-Specific Use Commitment. For each Service-Specific Use Commitment, Customer agrees to use the applicable components of the Eligible Service in the Eligible Regions under Eligible Accounts in an amount at least equal to the Service-Specific Use Commitment. If such use is less than the Service-Specific Use Commitment, then Customer shall pay AWS a Service-Specific Commitment Shortfall Payment.

5. Service Level Agreements​

To the extent of any conflict between any terms, conditions, and pricing contained in the Quote, and those contained in the Previous Agreement, then the Quote shall apply exclusively to all AWS S3 Services and the Previous Agreement shall apply exclusively to all services described therein.

6. Termination​

Notwithstanding any termination for convenience rights in the Previous Agreement, neither DoiT nor Customer may terminate the Quote or the Previous Agreement for convenience during the Term of the Quote.

Effects of termination. If Customer terminates the Quote other than for cause, any gap between actual consumption and "Service-Specific Use Commitment" (defined in the Quote) arising after such Termination effective date will apply and Customer shall be obligated to pay such gap to DoiT.

7. Payments​

Customer will pay DoiT International all amounts due under the Quote in accordance with the payment terms of the Previous Agreement. All payment obligations under te Quote will survive termination or expiration of the Quote. Payment by credit card shall be subject to a processing fee of 2.9%.

8. Nondisclosure​

Each party agrees that the existence and terms of the Quote are not publicly known and will not be disclosed by that party.

9. Applicable Law​

The governing law for the Quote shall be the same as the governing law under the Previous Agreement.
