AWS Private Pricing Addendum: Data Transfer Intra-Regional

1. Discount

DoiT International will apply the Service-Specific Rates to fees for the Eligible Service under Eligible Payer Accounts. Discounts under the Quote may not be combined (including with any discounts on the AWS website). If the pricing for an AWS region or a fee for the Eligible Service is not included in the Quote, Public Pricing will apply. DoiT International will apply the Service-Specific Rates during the Discount Term so long as you are complying with the terms of the Quote and the Previous Agreement.

2. Service-Specific Use Commitment

If the use of the Eligible Service in the Eligible Regions under Eligible Payer Accounts is less than the Service-Specific Use Commitment, you will pay DoiT International a "Commitment Shortfall Payment", as detailed below.

3. Payments

You will pay all amounts due under the Quote in U.S. dollars and in accordance with the payment terms agreed in the Previous Agreement. All payment obligations under the Quote will survive expiration or termination of the Previous Agreement.

4. Term; Termination

a. Term. The term of the Quote commences on the Quote Effective Date and ends on the last day of the Discount Term.

b. Termination. Notwithstanding any termination for convenience rights in the Previous Agreement, neither DoiT International nor you may terminate the Previous Agreement or the Quote for convenience during the term of the Quote. Each party may terminate the relevant services in the Quote for cause upon written notice if the other party is in breach of the Quote regarding the relevant services, provided that the breaching party will have 30 days from receipt of the notice to cure any breach that can be cured. Any termination of the Quote will be without prejudice to any other rights or remedies a party has under the Quote or the Previous Agreement.

c. Effect of Termination. If the Quote or the Previous Agreement is terminated for cause, you will pay DoiT International the Return Amount and any Service-Specific Commitment Shortfall Payment obligations arising from the Quote.

5. Nondisclosure

Each party agrees that the existence and terms of the Quote are not publicly known and will not be disclosed by that party.

6. Definitions

Capitalized terms have the meanings set forth in the Previous Agreement, or as described on the AWS Site unless otherwise defined in the Quote. As used in the Quote, 1 EB equals 1024 PB; 1 PB equals 1024 TB; 1 TB equals 1024 GB; 1 GB equals 1024 MB; 1 MB equals 1024 KB; and 1 KB equals 1024 bytes.

"AWS" means Amazon Web Services, Inc. Amazon Web Services EMEA SARL ("AWS Europe") and each other entity identified at https://aws.amazon.com/legal/aws-contracting-party that has agreed, following Customer's request, to become a party to the Quote based on the location you have set for an Eligible Payer Account..

"AWS Data Transfer" means Intra-Regional Data Transfer.

"Commitment Shortfall Payment" means an amount equal to the applicable Service Specific Use Commitment less the applicable use of the Eligible Service, charged at the lowest rate applicable under the Quote for the Eligible Service.

"Intra-Regional Data Transfer" means Data Transfer within the same AWS region as described on the AWS Site at https://aws.amazon.com/ec2/pricing/on-demand/, excluding data transfer described as free and data transfer via AWS PrivateLink endpoints.

"Public Pricing" means the pricing for Eligible Service as described on the AWS Site.
