Google - Security Command Center (Premium)
1. Invoicing and Payment.
a. Invoicing. During the Term, DoiT will invoice Customer at the end of each month for Subscription Fees incurred under the Subaccount in such month, as adjusted to reflect the applicable Quote Discount applicable for the ordered Services (if any), applied to the applicable Subscription SKUs. The Quote Discount only shall apply, excluding any precedent or other Customer’s Program Discount. For the avoidance of doubt, partial months shall be prorated accordingly.
b. Payment. Customer will pay DoiT in accordance with the payment terms specified in the Quote. During the Term, all Fees and discounts for Subscription SKUs are as set forth in this Quote and no other Fees or discounts will apply to such SKUs.
2. Relevant Customer Restrictions.
Customer will not allow any Customer other than the Customer listed on the Quote to benefit directly or indirectly from the Services provided under the Quote. Customer will not use the Subaccount(s) to track Services usage by any Customers other than the Customer listed on the Quote. Customer will not transfer, assign, or re-allocate the Subaccount(s) from the Customer on the Quote to any other Customer.
3. Changes in Commitment.
If Customer and DoiT have entered into a Google Cloud spend hard commitment in relation to the Subaccount(s) (“Commitment”), then Customer acknowledges and agrees that the pricing for Security Command Center Premium (“SCC-P”) subscription has been derived from that Commitment. If Customer renews or enters into a new Commitment under the Subaccount(s) during the SCC-P Order Term, then the parties will enter into good faith conversations to execute a new Quote that is commensurate with that new Commitment. If the parties do not enter into a new Quote within 90 days after the renewal or entry into that new Commitment, then Google may terminate the SCC-P Quote(s) in this Quote, in which case Customer will need to enter into a new Quote to continue using SCC-P under the Subaccount.
4. No Auto-Renewal.
The Quote will not renew and is not subject to termination for convenience. If you continue using a Service after the end of any Order Term without a written renewal agreement, all such usage will be at the then-current list prices (unless otherwise agreed by the parties in writing) and DoiT may invoice you for such usage in accordance with the Quote.
5. Termination.
If the Quote terminates before the end of the term for any reason other than Google’s uncured material breach, all unpaid fees for all remaining term(s) will become due and payable upon termination.
6. General.
Other than the terms set forth herein with respect to the Security Command Center Services, all other terms of the GCP Agreement shall remain unchanged and in full force and effect. If there is a conflict between the terms of this Quote and the remaining terms of the GCP Agreement, this Quote will govern. The parties may execute this Quote in counterparts, including facsimile, PDF, and other electronic copies, which taken together will constitute one instrument.
